The rules for using the TORCIDA.ai app and the torcida.ai website with a United States account.

1.Who we are and what you are agreeing to
These Terms of Service ("Terms") are an agreement between you and TORCIDA.AI TECNOLOGIA LTDA, a company organized under the laws of Brazil, CNPJ 69.028.300/0001-85, [PENDING: full address] ("TORCIDA.ai", "we", "us"). They govern your use of the TORCIDA.ai mobile app, the torcida.ai website and the Moments player we serve from our domains (together, the "Service").
By creating an account or using the Service you confirm that you have read, understood and agree to these Terms and to our Privacy Policy (https://torcida.ai/en/privacy), which is part of this agreement. If you do not agree, do not use the Service.
These Terms apply to accounts created with the United States option at sign-up. Accounts created in Brazil are governed by the Portuguese Terms of Use (https://torcida.ai/termos). If there is any conflict between this English text and a translation, this English text controls for United States accounts.
IMPORTANT: SECTION 18 CONTAINS A BINDING ARBITRATION AGREEMENT AND A CLASS ACTION WAIVER THAT AFFECT YOUR LEGAL RIGHTS. PLEASE READ IT CAREFULLY. [PENDING: counsel to confirm.]
2.Who can use TORCIDA.ai
You must be at least 16 years old to create a United States account. We do not knowingly allow anyone under 16 to use the Service, and we never allow anyone under 13 (Children's Online Privacy Protection Act). If the date of birth you enter shows you are under 16, the account is closed immediately and the sign-up data is deleted or anonymized.
If you are 16 or 17, you confirm that a parent or legal guardian has reviewed these Terms, agrees to them on your behalf and is responsible for your use of the Service. [PENDING: counsel — the app does not currently collect a parent's consent for United States accounts; confirm whether 16- and 17-year-olds may use the Service on this basis or whether a parental consent step is required.]
One account per person. Accounts are personal and non-transferable: do not share your password, lend your account or create more than one account. We may close duplicate accounts and, if the same person is found behind several accounts, remove the points and leaderboard positions earned with them.
You must give accurate information at sign-up (first and last name, email address, date of birth and, optionally, a phone number) and keep it current. Staff and sponsor accounts are separate from fan accounts and do not take part in leaderboards or rewards.
3.What TORCIDA.ai is (and is not)
TORCIDA.ai is a second screen for soccer. You watch the match on TV, at the stadium or on a stream and, in the app, you chat with your friends, answer Moments (Prediction, Trivia, Poll, Picks, Brackets and Scratch N'Win), earn points, compete in leaderboards and, when available, exchange points for digital Rewards.
TORCIDA.ai does not broadcast matches and is not affiliated with, sponsored by or endorsed by any club, league, federation, broadcaster or player. Scores, clocks and match events shown in the app come from a licensed data provider or are entered by our team from public sources; they may be delayed or wrong. For scoring purposes, the result recorded in our system is the one that counts.
4.Points
Points are units of the game. They are not money, currency, credit, property or any kind of financial instrument. They have no cash value, cannot be bought, sold, traded for money or anything of value, transferred between people or used outside the app, and we may change how they are earned at any time.
TORCIDA.ai is free to play. No purchase or payment is necessary to play, earn points or enter any Moment, and nothing of monetary value is wagered or won: getting a Prediction right earns game points only. TORCIDA.ai is not a gambling, betting, lottery, fantasy-sports or sweepstakes service and is not a game of chance for money. You earn points by playing Moments and taking part in app activities, according to the rules shown in each one (for example, points for playing and points for getting it right). Every point in your balance has an origin that you can see in your statement.
Results and scoring are decided by our system, with the same rules for everyone. Each answer you submit is final; in Moments with several steps you may come back to finish what is missing while the Moment is open, and nothing changes after it closes. Scratch N'Win is free, never costs or risks points and pays game points only; its result is decided by the system, and each Scratch N'Win may have a limited number of winners: once its prizes run out, later plays receive only the points for playing.
We may correct, remove or reset points obtained through system error, fraud, multiple accounts, automation or any breach of these Terms, and we may close, postpone or cancel Moments (for example, when a match is postponed). Points are not refunded or compensated when an account is closed for a breach or deleted by you.
5.Rewards and prizes
The Rewards tab shows items that can be exchanged for points. At launch, United States accounts cannot redeem physical prizes, gift cards, cash or any other real-world reward: the tab is a preview ("Coming soon"), and any item that becomes available to United States accounts will be a digital item inside the app (for example, a points boost, a frame, a title or a badge). Each item shows what it is and how many points it costs before you exchange; nothing is random. Exchanges are final and are only reversed in case of a system error. We may change the catalog at any time without affecting items you already exchanged, for their stated validity period.
If we ever run a sweepstakes, contest or giveaway with a physical or real-world prize open to United States residents, it will have its own Official Rules, published at torcida.ai before it starts, which will control over this section. In general: NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN; VOID WHERE PROHIBITED BY LAW; open only to legal residents of the eligible states who are 18 or older; one entry per person and per account; prizes are personal, non-transferable and not redeemable for cash; winners may be required to verify identity and eligibility and to sign a release; taxes on prizes are the winner's responsibility; unclaimed prizes are forfeited within the period stated in the Official Rules. Apple Inc. and Google LLC are not sponsors of, and are not involved in, any such promotion. 6.Referrals
At sign-up you may enter the @username of the person who referred you. Referrals are counted per created and active account (deleted accounts do not count). We may recognize the people who refer the most, including with a prize, always under Official Rules published in advance and subject to section 5. Referrals from fake, duplicate or automated accounts are void.
7.Sponsored content
Moments and cards identified as "Presented by" carry a sponsor's brand. The sponsor does not get access to your personal information (see the Privacy Policy, section 5) and has no say in results or scoring.
8.Your content
You are responsible for everything you post or send through the Service (messages, photos, posts, comments, bio, display name and @username). Only post what you have the right to use, and follow the community rules in section 9.
You keep ownership of your content. You grant TORCIDA.ai a free, non-exclusive, worldwide, royalty-free license to store, display, adapt the format of and distribute your content within the Service, only to operate the Service, for as long as it is published and, after that, for as long as the law or our Privacy Policy allow us to keep it (for example: messages that remain visible to the other participants of a conversation, including after you delete your account; content removed by moderation, kept as evidence for up to 180 days; your display name and @username in leaderboards).
You represent that you own or have the necessary rights to the content you post and that it does not infringe anyone's rights or violate any law.
9.Community rules and moderation
Be respectful. Do not post or send content that is illegal, harassing, hateful, threatening, sexually explicit, violent, that exploits or endangers minors, that infringes someone's privacy or intellectual property, that is spam or a scam, or that impersonates another person, a club, a sponsor or TORCIDA.ai. The Social tab (posts and comments) is moderated: posts and comments can be reported and removed. When we remove your content, the reason appears in your in-app Notifications (we do not send email or push notifications for this) and you may appeal once, within 14 days of the removal. There is no notice or appeal when content is removed for exploiting or endangering a child or teenager; we report such content to the authorities when required.
Conversations and groups are private: we do not read or moderate them. You may report a message (our team reads only the reported message and may remove it, with the same notice and appeal as in the Social tab), block a person (which prevents new conversations and invitations from them) and leave any conversation or group at any time.
We may remove content and suspend or terminate accounts that breach these Terms, the community rules or the law, with notice, except where the law or the safety of others requires immediate action.
10.Copyright complaints (DMCA)
We respect intellectual property and respond to notices under the Digital Millennium Copyright Act (17 U.S.C. § 512). If you believe content on the Service infringes your copyright, send a written notice to our designated agent at [PENDING: copyright@torcida.ai, with the agent's name and postal address, to be registered with the U.S. Copyright Office] including: (a) your physical or electronic signature; (b) identification of the copyrighted work; (c) identification of the material and where it is on the Service; (d) your contact information; (e) a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent or the law; and (f) a statement, under penalty of perjury, that the information in the notice is accurate and that you are the owner or authorized to act on the owner's behalf. We may forward notices to the person who posted the content, and we terminate the accounts of repeat infringers.
11.Prohibited conduct
In addition to the community rules, you agree not to: create or use multiple accounts; use bots, scripts or any automation; manipulate leaderboards, Moments or referrals; exploit bugs or system errors (tell us instead of using them); copy, scrape, decompile, reverse engineer or otherwise attempt to extract the source code of the app; use the Service for commercial purposes without a written agreement; impersonate another person, a club, a sponsor or TORCIDA.ai; interfere with the operation or security of the Service; or violate the rights of others or any law.
12.Intellectual property
The app, the website, the TORCIDA.ai name and logo, the design, the texts and the software are owned by or licensed to TORCIDA.ai and are protected by copyright, trademark and other laws. We grant you a limited, personal, non-exclusive, non-transferable and revocable license to use the app on your device for your personal, non-commercial use, subject to these Terms.
Names, crests and symbols of clubs and competitions belong to their owners and appear in the app for informational purposes only, to identify matches and fan preferences, without implying sponsorship, affiliation or endorsement. 13.Availability and changes to the Service
We work to keep the Service available, but it may be unavailable because of maintenance, failures, network problems or third parties. We may change, suspend or discontinue features at any time. When a change affects items you already exchanged, open Moments or leaderboards in progress, we will give reasonable notice in the app and tell you what happens to them. If we discontinue the Service we will give reasonable notice; points have no value and do not give rise to any compensation.
14.Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, THAT SCORES AND MATCH DATA WILL BE ACCURATE OR TIMELY, OR THAT ANY CONTENT POSTED BY OTHER USERS IS ACCURATE OR APPROPRIATE. SOME STATES DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
Content posted by other users is their responsibility. TORCIDA.ai is an interactive computer service under Section 230 of the Communications Decency Act (47 U.S.C. § 230) and is not the publisher or speaker of information provided by its users.
15.Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, TORCIDA.AI AND ITS OFFICERS, EMPLOYEES, PARTNERS AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL OR POINTS, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE SERVICE IS FREE: OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$ 100). THESE LIMITS DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED BY LAW, INCLUDING LIABILITY FOR OUR GROSS NEGLIGENCE, WILLFUL MISCONDUCT OR FRAUD. SOME STATES DO NOT ALLOW THE LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
16.Indemnification
You agree to defend, indemnify and hold harmless TORCIDA.ai and its officers, employees and partners from any claims, damages, losses and expenses (including reasonable attorneys' fees) arising out of or related to your content, your use of the Service or your breach of these Terms, of any law or of any third-party right, to the extent permitted by law.
17.Termination and account deletion
You may delete your account at any time in the app (Profile → Legal and Account → Delete my account) or by writing to [PENDING: support@torcida.ai]. Deletion is permanent and takes effect immediately in the app; what is deleted and what remains is described in the Privacy Policy, section 14.
We may suspend or terminate your account for a breach of these Terms, the community rules or the law, for prolonged inactivity [PENDING: period] or when required by law. When an account is closed you lose access to points, items and leaderboards, with no refund or compensation; records without identification may remain as described in the Privacy Policy. Sections that by their nature should survive termination (including 4, 8, 10 and 12 through 21) survive.
18.Dispute resolution: governing law, arbitration and class action waiver
Governing law. These Terms and any dispute between you and TORCIDA.ai are governed by the laws of the State of [PENDING: counsel — Delaware proposed], United States, without regard to its conflict-of-laws rules, and by the Federal Arbitration Act for the arbitration agreement below. Informal resolution first. Before starting arbitration or a lawsuit, you agree to contact us at [PENDING: legal@torcida.ai] with a written description of the dispute and to try in good faith to resolve it with us for at least 60 days. We will do the same before starting a claim against you.
BINDING ARBITRATION. IF THE DISPUTE IS NOT RESOLVED INFORMALLY, YOU AND TORCIDA.AI AGREE THAT ANY DISPUTE, CLAIM OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION (AAA) UNDER ITS CONSUMER ARBITRATION RULES [PENDING: counsel — AAA or JAMS], RATHER THAN IN COURT, EXCEPT THAT (A) EITHER PARTY MAY BRING AN INDIVIDUAL CLAIM IN SMALL CLAIMS COURT, AND (B) EITHER PARTY MAY SEEK INJUNCTIVE RELIEF IN COURT FOR THE INFRINGEMENT OR MISUSE OF INTELLECTUAL PROPERTY. THE ARBITRATOR DECIDES ALL ISSUES, INCLUDING THE SCOPE AND ENFORCEABILITY OF THIS AGREEMENT. ARBITRATION WILL TAKE PLACE IN YOUR COUNTY OF RESIDENCE OR BY VIDEO, AND TORCIDA.AI WILL PAY THE FILING AND ARBITRATOR FEES ABOVE THE FIRST US$ 200 UNLESS THE ARBITRATOR FINDS THE CLAIM FRIVOLOUS. YOU AND TORCIDA.AI GIVE UP THE RIGHT TO A TRIAL BY JURY.
CLASS ACTION WAIVER. YOU AND TORCIDA.AI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE OR REPRESENTATIVE PROCEEDING. IF THIS WAIVER IS FOUND UNENFORCEABLE FOR A PARTICULAR CLAIM, THAT CLAIM (AND ONLY THAT CLAIM) WILL PROCEED IN COURT AND NOT IN ARBITRATION.
Opt-out. You may opt out of this arbitration agreement and class action waiver by emailing [PENDING: legal@torcida.ai] within 30 days after you first create your account, with your name, @username and a clear statement that you want to opt out. Opting out does not affect any other part of these Terms.
Courts. If a claim is not subject to arbitration, it must be brought in the state or federal courts located in [PENDING: county and state], and you consent to their jurisdiction, except that you may bring a claim in small claims court where you live.
19.Changes to these Terms
We may update these Terms. If a change is material we will notify you in the app at least 30 days before it takes effect; continuing to use the Service after that date means you accept the new version. The version in force is the one at the top of this page. If you do not agree, stop using the Service and delete your account. 20.App store terms
If you downloaded the app from the Apple App Store: these Terms are between you and TORCIDA.ai, not Apple; Apple has no obligation to provide maintenance or support for the app; Apple is not responsible for any claim relating to the app or your use of it, including product liability, legal or regulatory compliance and consumer protection claims, or for third-party intellectual property claims; Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. You represent that you are not located in a country subject to a U.S. government embargo or designated as a "terrorist supporting" country and are not on any U.S. government list of prohibited or restricted parties.
If you downloaded the app from Google Play, the Google Play Terms of Service also apply to your download and use of the app.
21.General
These Terms and the Privacy Policy are the entire agreement between you and TORCIDA.ai about the Service. If any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms; we may assign them in connection with a merger, acquisition or sale of assets, with notice to you. These Terms are written in English; any translation is provided for convenience only.
California residents: under California Civil Code § 1789.3, you may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.
Export: you may not use or export the app in violation of U.S. export laws and regulations.
